Terms & Conditions

Effective Date: May 2026

Welcome to Sparklehub Cleaning Services Ltd. These Terms & Conditions govern the supply of commercial cleaning services provided by Sparklehub Cleaning Services Ltd to business and commercial customers. By requesting a quotation, accepting a proposal, signing a Service Agreement, or permitting us to commence work, you agree to be bound by these Terms & Conditions.

These Terms are intended to create a clear understanding between both parties and set out our respective rights, obligations, and responsibilities throughout our working relationship.


1. Definitions and Interpretation

Throughout these Terms:

  • “Sparklehub”, “Supplier”, “we”, “our”, or “us” refers to Sparklehub Cleaning Services Ltd.
  • “Customer”, “you”, or “your” refers to the business, organisation, or commercial entity purchasing our services.
  • “Services” means the cleaning services described within the agreed Service Specification.
  • “Service Agreement” means the written agreement confirming the parties, service location, frequency, pricing, contract period, and any additional commercial terms.
  • “Service Specification” means the cleaning schedule and scope of work agreed between the parties.
  • “Working Day” means any day other than a Saturday, Sunday, or public holiday in England.

These Terms apply to the exclusion of any alternative terms that a Customer may seek to impose unless expressly agreed in writing by Sparklehub Cleaning Services Ltd.

Throughout this document, any reference to Sparklehub Cleaning Services Ltd includes our authorised employees, representatives, and approved subcontractors acting on our behalf.


3. Formation of the Contract

A legally binding contract is formed when either:

  • Sparklehub Cleaning Services Ltd provides written acceptance of your order or quotation; or
  • We commence the agreed services,

whichever occurs first.

The contract consists of:

  • These Terms & Conditions
  • The signed Service Agreement
  • The agreed Service Specification
  • Any additional documents specifically referenced within those documents

Where any conflict exists between these documents, they shall take precedence in the following order:

  1. Service Agreement
  2. These Terms & Conditions
  3. Service Specification

This ensures that any bespoke commercial arrangements agreed with a customer take priority over the standard terms.


4. Our Services

Sparklehub Cleaning Services Ltd agrees to provide the cleaning services described within the agreed Service Specification.

Our services are delivered using reasonable care, skill, diligence, and professionalism by trained cleaning operatives using suitable equipment, products, and cleaning methods appropriate for the premises.

Where appropriate, we may engage carefully selected and vetted self-employed subcontractors to assist in delivering our services. Where subcontractors are used, Sparklehub Cleaning Services Ltd remains fully responsible for ensuring that the contracted services are delivered in accordance with the agreed standards.

Although we aim to attend at agreed service times, timing shall not be considered an essential term of the contract unless specifically agreed in writing.

We reserve the right to make reasonable operational changes where necessary to ensure continuity of service while maintaining agreed cleaning standards.


5. Customer Responsibilities

To enable us to deliver our services safely and efficiently, Customers agree to:

  • Provide safe and unrestricted access to the premises at the agreed dates and times.
  • Ensure suitable supplies of electricity, running water, lighting, and other utilities are available where required for the provision of our services.
  • Inform us of any site-specific hazards, restricted areas, vulnerable persons, fragile items, confidential materials, security procedures, alarm systems, or access arrangements.
  • Cooperate fully with any site-specific risk assessments before work commences and notify us promptly of any material changes affecting the premises.
  • Ensure the premises comply with all relevant health and safety requirements.
  • Provide accurate information regarding the scope of work required.
  • Notify us promptly of any changes to service requirements.
  • Treat our employees and subcontractors respectfully and professionally while on site.

Customers must not directly employ, engage, or otherwise contract with any Sparklehub employee or subcontractor who has provided services under the contract during its term or for six months following its termination unless prior written permission has been obtained from Sparklehub Cleaning Services Ltd.


6. Charges and Pricing

Service charges are detailed within your quotation or Service Agreement.

Unless expressly stated otherwise:

  • All prices are exclusive of Value Added Tax (VAT).
  • VAT will be charged at the prevailing statutory rate where applicable.
  • Any services requested outside the agreed Service Specification will be treated as additional work and charged separately.

Additional work will only be undertaken after receiving written approval from the Customer.

Sparklehub Cleaning Services Ltd reserves the right to review its pricing annually to reflect increases in operating costs, including but not limited to:

  • Staff wages
  • National Minimum Wage increases
  • Fuel costs
  • Cleaning materials
  • Equipment
  • Insurance premiums
  • Regulatory compliance costs
  • Business overheads

Customers will receive no less than thirty (30) days’ written notice before any revised pricing takes effect.


7. Payment Terms

Invoices shall be issued in accordance with the agreed Service Agreement.

Unless otherwise agreed in writing, payment must be received within seven (7) days from the invoice date.

Payments shall be made using the payment details shown on the invoice.

Time for payment is of the essence.

All payments must be made in full without deduction, withholding, counterclaim, or set-off unless required by law.

If payment is not received by the due date, Sparklehub Cleaning Services Ltd reserves the right to:

  • Charge statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  • Recover statutory compensation permitted under that legislation.
  • Recover any reasonable debt recovery costs, including legal fees and collection agency costs where applicable.
  • Suspend cleaning services after providing five working days’ written notice.
  • Terminate the contract where payment remains outstanding.

Customers wishing to dispute an invoice must notify Sparklehub Cleaning Services Ltd in writing within thirty (30) days of the invoice date.

Following this period, the invoice will be deemed accepted and payable in full.


8. Service Standards and Quality Assurance

Sparklehub Cleaning Services Ltd is committed to delivering consistently high standards of professional cleaning services in accordance with the agreed Service Specification.

If a Customer believes that any aspect of the agreed service has not been completed satisfactorily, they should notify their designated Sparklehub representative within twenty-four (24) hours of the relevant visit.

Where the reported issue is confirmed to be genuine and falls within the agreed scope of work, we will arrange for corrective action to be carried out within a reasonable timeframe at no additional cost to the Customer.

To maintain service quality and ensure customer satisfaction, periodic service reviews may be conducted at intervals agreed within the Service Agreement. These reviews provide an opportunity to assess service performance, discuss any operational changes, and identify opportunities for continuous improvement.

9. Insurance

Sparklehub Cleaning Services Ltd is committed to maintaining appropriate insurance coverage to protect both our business and our customers.

We maintain Public Liability Insurance with a minimum indemnity limit of £2 million to cover claims arising from our business activities.

Where we employ staff, we also maintain Employer’s Liability Insurance with a minimum indemnity limit of £5 million, in accordance with UK legal requirements.

Copies of our insurance certificates are available upon request.

If a Customer requires insurance cover above our standard limits for a particular site or contract, this should be discussed before services commence. Where possible, we may arrange additional insurance cover, subject to the availability of insurers and any additional premium being agreed by the Customer.

Maintaining appropriate insurance demonstrates our commitment to professionalism, accountability, and risk management while providing reassurance to our customers.


10. Health, Safety and Legal Compliance

The health, safety, and wellbeing of our employees, subcontractors, customers, visitors, and members of the public are fundamental to the way we operate.

Sparklehub Cleaning Services Ltd is committed to providing cleaning services in accordance with all applicable UK health and safety legislation and recognised industry best practices.

We maintain comprehensive health and safety documentation, including:

  • Company Health & Safety Policies
  • Site-specific Risk Assessments
  • COSHH (Control of Substances Hazardous to Health) Assessments
  • Safe Systems of Work
  • Method Statements
  • Accident and Incident Reporting Procedures
  • Emergency Procedures
  • Staff Training Records

Relevant documentation can be made available to customers upon reasonable request where appropriate.

Before commencing work, we may undertake site-specific risk assessments to identify hazards, assess risks, and determine suitable control measures. Customers agree to cooperate with this process and to notify us promptly of any changes that could affect the safety of our operatives or the delivery of our services.

Customers are responsible for ensuring that their premises provide a safe working environment and must inform us of any hazards, restricted areas, security procedures, asbestos, hazardous materials, vulnerable individuals, or other risks that may affect our staff while carrying out cleaning services.

Both Sparklehub Cleaning Services Ltd and the Customer agree to comply with their respective duties under the Health and Safety at Work etc. Act 1974 and all associated regulations.


11. Environmental Responsibility and Safe Use of Cleaning Products

Sparklehub Cleaning Services Ltd is committed to carrying out cleaning services responsibly while minimising environmental impact wherever reasonably practicable.

We aim to use professional cleaning products safely and appropriately, following manufacturers’ instructions and applicable COSHH requirements.

Where suitable, we seek to:

  • Reduce unnecessary chemical usage.
  • Use environmentally responsible cleaning products where appropriate.
  • Minimise waste.
  • Recycle materials whenever practical.
  • Dispose of waste responsibly and in accordance with relevant environmental legislation.

Customers should notify us in advance if specific environmentally friendly products are required or if certain chemicals must not be used within their premises.


12. Anti-Bribery and Ethical Business Practices

Sparklehub Cleaning Services Ltd conducts business honestly, ethically, and with integrity.

Both Sparklehub Cleaning Services Ltd and the Customer agree to comply with all applicable legislation relating to anti-bribery and corruption, including the Bribery Act 2010.

Neither party shall:

  • Offer or accept bribes.
  • Provide improper financial or other advantages.
  • Engage in fraudulent or corrupt business practices.
  • Act in any way that could cause the other party to breach applicable anti-corruption legislation.

We maintain a zero-tolerance approach to bribery and corruption throughout our business operations.


13. Modern Slavery and Ethical Employment

Sparklehub Cleaning Services Ltd is committed to preventing modern slavery, forced labour, human trafficking, child labour, and exploitation in all aspects of our business.

We expect the same commitment from our customers, suppliers, subcontractors, and business partners.

Both parties agree to comply with the Modern Slavery Act 2015 and to take reasonable steps to ensure that slavery and human trafficking do not occur within their respective operations or supply chains.

Where concerns regarding unethical labour practices arise, Sparklehub reserves the right to investigate the matter and, where appropriate, terminate the contractual relationship.


14. Data Protection and Privacy

Sparklehub Cleaning Services Ltd recognises the importance of protecting personal information and processing it responsibly.

Both Sparklehub Cleaning Services Ltd and the Customer agree to comply with:

  • UK General Data Protection Regulation (UK GDPR)
  • Data Protection Act 2018
  • Data (Use and Access) Act 2025
  • Any other applicable UK data protection legislation

Where Sparklehub Cleaning Services Ltd processes personal data solely on behalf of the Customer, both parties agree that an appropriate written Data Processing Agreement will be entered into before such processing begins, where required by Article 28 of the UK GDPR.

We process personal information only where there is a lawful basis to do so and apply appropriate technical and organisational security measures to safeguard personal data.

15. Confidentiality

During the course of providing our services, either party may receive confidential or commercially sensitive information belonging to the other.

Both parties agree to keep all confidential information secure and not disclose it to any third party unless:

  • Disclosure is required by law.
  • Disclosure is required by a regulatory authority.
  • The information is already publicly available through no fault of the receiving party.
  • The receiving party already possessed the information lawfully before disclosure.
  • The information has been disclosed with the prior written consent of the other party.

Confidential information may include, but is not limited to:

  • Business operations
  • Financial information
  • Customer records
  • Security procedures
  • Access codes
  • Building layouts
  • Commercial strategies
  • Pricing information
  • Staff information
  • Proprietary documentation

Both parties agree to use confidential information solely for the purposes of performing their contractual obligations.

Unless otherwise required by law, these confidentiality obligations continue for three (3) years following the termination or expiry of the contract.

16. Contract Duration

Unless otherwise agreed in writing, your contract with Sparklehub Cleaning Services Ltd begins on the commencement date specified in the Service Agreement.

The agreement will continue for the agreed contract period or, where no fixed term has been specified, until it is terminated in accordance with these Terms & Conditions.

Where a minimum contract period has been agreed, both parties are expected to honour the agreement for that duration unless an earlier termination right applies under these Terms.

Following the expiry of any minimum contract period, the agreement shall continue on a rolling basis until terminated by either party in accordance with the notice provisions outlined below.


17. Termination of the Contract

Either party may terminate the agreement by providing thirty (30) days’ written notice after the expiry of any agreed minimum contract period.

Sparklehub Cleaning Services Ltd reserves the right to terminate the agreement immediately by written notice where the Customer:

  • Commits a material breach of these Terms and fails to remedy the breach within fourteen (14) days of receiving written notice requiring it to do so.
  • Fails to make payment in accordance with the agreed payment terms.
  • Becomes insolvent or enters administration, liquidation, or any formal insolvency procedure.
  • Ceases trading or is unable to continue operating its business.
  • Prevents Sparklehub from carrying out the agreed services for an unreasonable period without prior agreement.
  • Engages in abusive, threatening, discriminatory, violent, or unlawful behaviour towards our employees, subcontractors, or representatives.
  • Provides false or misleading information that materially affects the delivery of our services.

The Customer may terminate the agreement immediately where Sparklehub Cleaning Services Ltd commits a material breach of the contract and fails to remedy that breach within fourteen (14) days of receiving written notice requesting that it do so.

Termination of the agreement shall not affect:

  • Any rights or remedies accrued before termination.
  • Outstanding invoices or other monies lawfully due.
  • Any obligations intended to survive termination, including confidentiality, liability limitations, data protection obligations, and non-solicitation provisions.

Customers remain responsible for payment of all services provided up to the effective termination date.


18. Non-Solicitation of Staff

Sparklehub Cleaning Services Ltd invests significant time and resources in recruiting, training, and developing its employees and subcontractors.

Accordingly, during the term of the agreement and for six (6) months following its termination or expiry, Customers agree not to:

  • Employ any Sparklehub employee who has provided services under the agreement.
  • Engage any Sparklehub subcontractor directly.
  • Encourage or induce any member of our workforce to leave our business in order to provide services directly to the Customer.
  • Circumvent Sparklehub by entering into arrangements with our personnel without our prior written consent.

Where a Customer breaches this provision by directly engaging one of our employees or subcontractors, the Customer agrees to pay Sparklehub Cleaning Services Ltd a recruitment fee equal to 30% of that individual’s gross annual remuneration.

This fee represents a genuine estimate of the costs associated with recruitment, training, administration, and replacing experienced personnel and is not intended to operate as a penalty.


19. Limitation of Liability

Nothing within these Terms & Conditions limits or excludes liability for:

  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation.
  • Any liability that cannot legally be excluded or limited under applicable law.

Subject to the above, Sparklehub Cleaning Services Ltd shall not be liable for any:

  • Loss of profits.
  • Loss of revenue.
  • Loss of business opportunities.
  • Loss of goodwill.
  • Loss of anticipated savings.
  • Loss of contracts.
  • Indirect losses.
  • Consequential losses.
  • Special or punitive damages.

Our total aggregate liability arising from or connected with the agreement, whether arising in contract, negligence, breach of statutory duty, or otherwise, shall not exceed the greater of:

  • The total charges paid or payable by the Customer during the twelve (12) months immediately preceding the event giving rise to the claim; or
  • The applicable limit of our Public Liability Insurance in force at the time of the claim.

Customers acknowledge that the prices charged for our services reflect the allocation of risk set out within these Terms.

Nothing in this clause affects any rights that cannot legally be excluded under the laws of England and Wales.


20. Force Majeure

Neither Sparklehub Cleaning Services Ltd nor the Customer shall be liable for any failure or delay in performing their contractual obligations where such failure or delay results from events beyond their reasonable control.

Force majeure events may include, but are not limited to:

  • Severe weather conditions.
  • Flooding.
  • Fire.
  • Earthquake.
  • Epidemics or pandemics.
  • Government restrictions or emergency legislation.
  • Acts of terrorism.
  • Civil unrest.
  • Industrial action affecting third parties.
  • Failure of utility services.
  • Failure of transport infrastructure.
  • National emergencies.
  • Any other event beyond the reasonable control of either party.

Where a force majeure event occurs, the affected party shall:

  • Notify the other party as soon as reasonably practicable.
  • Take reasonable steps to minimise disruption.
  • Resume performance as soon as circumstances reasonably permit.

Where a force majeure event continues for more than sixty (60) consecutive days, either party may terminate the agreement by giving written notice to the other.

Neither party shall be liable for any failure to perform obligations that could not reasonably have been avoided due to the force majeure event.


21. Business Continuity

Sparklehub Cleaning Services Ltd maintains business continuity procedures designed to minimise disruption to our services wherever reasonably possible.

Where operational interruptions occur, we will make reasonable efforts to:

  • Maintain communication with affected customers.
  • Provide temporary staffing arrangements where available.
  • Rearrange service schedules where appropriate.
  • Resume normal operations as quickly as reasonably practicable.

Although we cannot guarantee uninterrupted service during exceptional circumstances, we remain committed to restoring normal operations at the earliest opportunity.

22. Variations to the Agreement

From time to time, it may become necessary to amend the scope of services, pricing, schedules, or other contractual arrangements.

Any amendment, variation, or modification to the agreement shall only be valid where it has been agreed in writing by both Sparklehub Cleaning Services Ltd and the Customer.

Verbal agreements, informal conversations, or email exchanges that do not clearly state acceptance by both parties shall not constitute a formal variation of the contract.

Where additional services are requested outside the agreed Service Specification, a revised quotation or written variation may be issued before the additional work is carried out.


23. Notices

Any notice required under these Terms & Conditions shall be made in writing.

Notices may be sent by:

  • Email to the primary contact specified within the Service Agreement; or
  • Pre-paid first-class post to the registered office or principal business address of the receiving party.

Unless proven otherwise:

  • Email notices shall be deemed received on the next Working Day following transmission.
  • Postal notices shall be deemed received on the second Working Day after posting.

Either party may notify the other of updated contact details during the course of the agreement, and future notices shall be sent using the most recently notified contact information.


24. Third-Party Rights

These Terms & Conditions are intended solely for the benefit of Sparklehub Cleaning Services Ltd and the Customer.

Except where expressly stated otherwise, no person or organisation who is not a party to the agreement shall have any right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.

This clause does not affect any legal rights or remedies available to third parties under applicable law where those rights cannot lawfully be excluded.


25. Governing Law and Jurisdiction

These Terms & Conditions, together with any Service Agreement entered into between the parties, shall be governed by and interpreted in accordance with the laws of England and Wales.

Both parties agree that any dispute arising from or relating to the agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing formal legal proceedings, both parties agree to make reasonable efforts to resolve disputes through open communication and good faith discussions wherever possible.


26. Complaints and Customer Feedback

Sparklehub Cleaning Services Ltd values customer feedback and is committed to delivering high standards of service.

If you are dissatisfied with any aspect of our services, we encourage you to contact us as soon as reasonably practicable so that we can investigate your concerns.

Complaints should include:

  • Your name and organisation.
  • Property or site address.
  • Date and time of the service.
  • Details of the issue.
  • Any supporting photographs or evidence where available.

We aim to acknowledge complaints promptly and work with you to reach a fair and timely resolution.

Where a complaint relates to the quality of a service delivered within the agreed scope of work, we may, at our discretion, arrange a revisit or other appropriate remedial action.


27. Intellectual Property

Unless otherwise agreed in writing, all content created by Sparklehub Cleaning Services Ltd, including quotations, cleaning schedules, service specifications, documentation, policies, training materials, photographs, logos, branding, website content, and other business materials, remains our intellectual property.

Customers may not copy, reproduce, distribute, publish, or commercially exploit such materials without our prior written consent.

Nothing within these Terms transfers ownership of Sparklehub’s intellectual property to the Customer.


28. Entire Agreement

These Terms & Conditions, together with the Service Agreement, Service Specification, and any documents expressly incorporated by reference, constitute the entire agreement between Sparklehub Cleaning Services Ltd and the Customer.

They supersede all previous discussions, negotiations, representations, correspondence, or agreements relating to the services.

Each party acknowledges that it has not relied upon any representation, promise, or statement not expressly contained within the agreement.

Nothing within this clause limits liability for fraud or fraudulent misrepresentation.


29. Severability

If any provision of these Terms & Conditions is found by a court or competent authority to be unlawful, invalid, or unenforceable, that provision shall be treated as severed from the agreement.

The remaining provisions shall continue in full force and effect and shall remain binding on both parties.

Where possible, any invalid provision shall be interpreted in a manner that most closely reflects its original commercial intention while remaining legally enforceable.


30. Waiver

Failure or delay by either party to exercise any right or remedy under these Terms shall not constitute a waiver of that right.

Any waiver must be made expressly in writing and shall apply only to the specific circumstances for which it is given.

A waiver of one breach shall not constitute a waiver of any subsequent breach.


31. Acceptance of These Terms

By accepting a quotation, signing a Service Agreement, placing an order, requesting services to commence, or continuing to use the services of Sparklehub Cleaning Services Ltd, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

Where a signed agreement exists, these Terms shall form part of that agreement unless expressly varied in writing.


Policy Updates

We review these Terms & Conditions periodically to ensure they remain accurate, legally compliant, and aligned with our business operations.

Where changes are made, the updated version will be published on our website with a revised effective date. Continued use of our services following the publication of updated Terms constitutes acceptance of those changes unless otherwise agreed in writing.
